Pass-through taxation allows S Corps to tax income at the individual shareholder level rather than at the corporate level, which can lead to significant tax savings. However, there are strict eligibility criteria and compliance requirements, so you should think carefully before choosing this structure.

Here’s a quick summary of what’s involved in S Corp election choices.

S corporation qualification

An S Corp is not a legal business entity. Instead, it is a special election conducted by an LLC or C Corp in conjunction with the Internal Revenue Service (IRS). An S Corp must report corporate income, losses, and deductions through its shareholders/owners, who must report the corporation’s income on their personal income tax returns.

Like a C Corp, an S Corp can be made “permanent” by selling its shares. This means that the company continues even after the owner retires or dies.

To maintain S Corp election, a company must:

  • Must be filed as a U.S. corporation.
  • Maintain only one class of inventory.
  • Limit the number of shareholders to 100 or less.
  • Only the following shareholders are permitted:

Advantages and disadvantages of S Corp

For businesses that want to maintain the administrative simplicity enjoyed by LLCs, S Corp allows for easy ownership transfer, support for cash accounting methods, and streamlined financial management. B Corp companies are legally required to consider the interests of stakeholders beyond shareholders, in line with the growing demand to operate with purpose and social responsibility. B Corps offer an opportunity to make a positive impact on society, but they also come with their own compliance obligations and reporting requirements. Currently, only 36 states recognize B Corp as a corporation, so it’s important to know if your client has this option.

Although certification is not necessarily required for a company to register as a welfare corporation with the state, many companies choose to do so because the formal designation is publicly recognized and demonstrates a company’s commitment to raising social awareness. , decides to get certified.
